Welcome to Techniv. These Terms & Conditions ("Terms") govern your use of our website www.techniv.com and the services we provide. By using our website, requesting a quote, or engaging our services, you agree to these Terms.
1. About Us
Techniv ("we", "us", "our") is a digital services agency providing website development (HubSpot, WordPress, Shopify, Webflow, MERN stack), digital marketing, video editing, AI chatbots, automation, and related services.

2. Our Services
We provide digital services as described on our website. All services are delivered remotely. Specific deliverables, timelines, and pricing for each project are defined in a written proposal, quote, or agreement shared with you before work begins ("Project Scope"). If there is any conflict between these Terms and a signed Project Scope, the Project Scope applies.
3. Quotes & Proposals
- All quotes are free and valid for 30 days from the date issued.
- A project begins only after you approve the Project Scope in writing (email or platform message is sufficient) and pay any agreed deposit.
- Anything not listed in the Project Scope is not included and may be quoted separately.
4. Payments
- Prices are quoted in USD unless otherwise agreed, and are exclusive of any taxes, bank charges, or transfer fees, which are the client's responsibility.
- Unless otherwise agreed, projects require a deposit before work begins, with the balance due on completion and before final delivery/handover.
- We accept major payment methods including cards, PayPal, Wise, Payoneer, and bank transfer. We also work through Upwork and Fiverr, where that platform's payment terms apply.
- For monthly services (e.g., HubSpot Virtual Assistant, maintenance, marketing), payment is due in advance at the start of each billing period.
- Late payments may result in paused work, withheld deliverables, and a late fee of up to 5% per month on overdue amounts.
5. Client Responsibilities
To deliver on time, we need your cooperation. You agree to:
- Provide required content, credentials, access, and feedback within a reasonable time (normally 3–5 business days of request).
- Ensure that all materials you provide (text, images, videos, logos, data) are owned by you or properly licensed. You are responsible for any claims arising from materials you supply.
- Maintain your own subscriptions and accounts (e.g., HubSpot, Shopify, hosting, domains) unless management is included in your Project Scope.
Delays in providing materials or feedback may extend the project timeline accordingly.
6. Revisions
- Each Project Scope includes a defined number of revision rounds (typically 2, unless stated otherwise).
- A "revision" means reasonable adjustments to work already delivered within the agreed scope. New features, new pages, or changes to the agreed design direction count as additional work and will be quoted separately.
- Additional revision rounds beyond those included are billed at our standard hourly rate, communicated in advance.
7. Project Delivery & Acceptance
- We deliver work through staging links, shared files, or directly in your platform accounts as agreed.
- You have 7 days after final delivery to report any issues covered by the Project Scope. After this period, or once you approve the work or put it into live use, the project is considered accepted.
- Timelines shared are good-faith estimates. We are not liable for delays caused by third-party platforms (e.g., HubSpot, Shopify, app stores), or by delayed client feedback or materials.
8. Ownership & Intellectual Property
- Upon full payment, you own the final deliverables created specifically for your project — including designs, code, and content we produced for you.
- We retain ownership of our pre-existing tools, frameworks, templates, and know-how, which you receive a non-exclusive license to use within your deliverables.
- Third-party assets (themes, plugins, stock media, fonts, software) remain subject to their own licenses.
- Until full payment is received, all work remains our property.
- We may display completed work in our portfolio and marketing unless you request otherwise in writing before project completion.
9. Ongoing Services & Cancellation
- Monthly services (virtual assistant, maintenance, marketing) run month-to-month and can be cancelled by either party with 14 days' written notice.
- For fixed projects, if you cancel after work has started, you remain responsible for payment covering all work completed up to the cancellation date; deposits are non-refundable once work has begun.
- We may suspend or terminate services in cases of non-payment, abusive behavior, or requests for unlawful work.
10. Refunds
- Deposits and payments for completed work are non-refundable.
- If we are unable to deliver the agreed work due to reasons within our control, we will refund payments for the undelivered portion of the Project Scope.
- For projects handled through Upwork or Fiverr, that platform's dispute and refund process applies.
11. Support & Maintenance
- Each project includes a 14-day post-launch support period covering bugs and issues in the work we delivered.
- Issues caused by third-party updates, other vendors, or changes made by you or others after delivery are not covered, but can be fixed under a support plan or separate quote.
- Ongoing maintenance is available as an optional monthly plan.
12. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the project — including credentials, strategies, data, and pricing — and to use it only for the purposes of the project. We sign a separate NDA on request. Access credentials you share with us are used only for the agreed work and can be revoked by you at any time.
13. Third-Party Platforms & Services
Our work often depends on third-party platforms (HubSpot, Shopify, WordPress, Webflow, Meta, Google, etc.). We are not responsible for changes to their features, pricing, policies, downtime, or account decisions made by those platforms. Costs of third-party subscriptions, licenses, apps, and ads budgets are separate from our fees and are paid by you unless stated otherwise.
14. Warranties & Disclaimers
- We warrant that our services will be performed with reasonable skill and care in line with industry standards.
- We do not guarantee specific business outcomes — including search engine rankings, traffic levels, lead volumes, sales, or revenue — as these depend on many factors outside our control.
- Except as stated in these Terms, all services are provided "as is" without other warranties, express or implied.
15. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from a project is limited to the amount you paid us for that project.
- We are not liable for indirect or consequential losses, including loss of profits, revenue, data, or business opportunity.
- Nothing in these Terms limits liability that cannot be limited by law (such as fraud).
16. Website Use
You agree not to misuse our website, attempt to gain unauthorized access, copy our content without permission, or use the site for any unlawful purpose. All website content (text, designs, branding) is owned by Techniv and may not be reproduced without written consent.
17. Privacy
Your personal information is handled in accordance with our Privacy Policy.
18. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, internet or platform outages, war, or government actions. Timelines will be extended accordingly.
19. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Before any formal proceedings, both parties agree to first attempt to resolve any dispute in good faith through direct communication. For projects handled through Upwork or Fiverr, that platform's dispute resolution process applies first.
20. Changes to These Terms
We may update these Terms from time to time. The latest version will always be posted on this page with an updated date. Continued use of our services after changes means you accept the updated Terms.
